Terms of Service
These terms set out the basis on which AVORIX provides its services, including payment, refunds, liability, and the governing law of Georgia. Please read them carefully.

01About AVORIX
These Terms of Service (“Terms”) govern your access to and use of the services provided by AVORIX, a software and AI engineering firm registered in Georgia. By engaging our services or using our website, you agree to these Terms.

02Services
AVORIX provides professional engineering services, including AI integration, custom software development, and cloud infrastructure and DevOps. The exact scope, deliverables, timeline, and fees for each engagement are defined in a separate written agreement, proposal, or statement of work (“Engagement Agreement”).
Where these Terms conflict with a signed Engagement Agreement, the Engagement Agreement prevails for that engagement.
03Pricing, payment and currency
- Fees are quoted and payable in Georgian Lari (GEL) and, where expressly agreed, in other currencies.
- We accept payments by Visa and Mastercard via our acquiring bank in Georgia, and by bank transfer, as specified on the relevant invoice.
- Card payments are secured with 3-D Secure and processed through a PCI DSS-compliant gateway.
- Invoices are due within the period stated on the invoice unless otherwise agreed in writing.
- All prices are exclusive of applicable taxes unless stated otherwise; taxes are charged in accordance with the legislation of Georgia.
04Refunds and cancellation
Because our services are bespoke and delivered against agreed milestones, refund and cancellation terms are as follows:
- You may cancel an engagement in writing at any time. Fees for work already performed up to the cancellation date are non-refundable.
- Any pre-paid amount not yet earned against delivered work will be refunded to the original payment method, normally within 10 business days of confirming the cancellation.
- If a card payment is duplicated or charged in error, the full erroneous amount is refunded to the same card.

05Service delivery
Our services are delivered electronically and remotely, according to the schedule set out in the relevant Engagement Agreement. As we do not sell physical goods, no shipping or physical delivery applies. Acceptance of deliverables is handled through the review and acceptance process defined in the Engagement Agreement.
06Client responsibilities
To enable us to deliver effectively, you agree to:
- Provide accurate, complete information and timely access to systems and stakeholders;
- Ensure you have the rights and authority to share any materials or data provided to us;
- Make payments in accordance with the agreed schedule.
07Intellectual property
Unless otherwise agreed in writing, ownership of bespoke deliverables transfers to you upon full payment. AVORIX retains ownership of its pre-existing tools, frameworks, and know-how, and grants you a licence to use them as incorporated in the deliverables. Each party retains its own pre-existing intellectual property.
08Confidentiality
Each party agrees to keep the other's confidential information secure and to use it only for the purposes of the engagement. Personal data is handled in accordance with our Privacy Policy and the Law of Georgia on Personal Data Protection.
09Warranties and liability
We provide our services with reasonable skill and care. To the maximum extent permitted by the legislation of Georgia:
- Our total aggregate liability arising out of an engagement is limited to the fees paid for that engagement;
- We are not liable for indirect, incidental, or consequential losses;
- Nothing in these Terms excludes liability that cannot be excluded under Georgian law.
10Consumer rights
Where you engage us as a consumer, nothing in these Terms limits the mandatory rights granted to you under the Law of Georgia on the Protection of Consumer Rights and other applicable Georgian legislation.
11Governing law and disputes
These Terms are governed by the legislation of Georgia. The parties will seek to resolve any dispute amicably. If that is not possible, the dispute will be submitted to the competent courts of Tbilisi, Georgia, unless the parties agree otherwise in writing.
12Changes to these Terms
We may update these Terms from time to time. The current version, with its effective date, is always available on this page. Continued use of our services after an update constitutes acceptance of the revised Terms.
